to you by this agreement. (A "Content Provider" is a person or organization who
has provided information or other Content that is included in IRMI.com).
IRMI grants you a non-exclusive, non-transferable license to use text and databases

Fees
IRMI reserves the right to charge fees for access to IRMI.com as a whole or portions
of IRMI.com. However, you will not be charged for access to IRMI.com unless we obtain
your prior agreement to pay such fees. If at a later date IRMI requires a fee to
use portions of IRMI.com that are now free, you will receive advance notice of such
fees and be given the opportunity to cancel your account before any charges are
imposed. Any new fees will be posted in appropriate locations on IRMI.com. You agree
to pay all such fees and charges incurred through your account. You also agree to
pay any charges billed to you for products or services you purchase through IRMI.com
from IRMI or from any other vendor or service provider. In addition, you agree to
pay any applicable taxes relating to use of IRMI.com through your account.
Miscellaneous
These Terms of Use will apply to each and every access to IRMI.com. IRMI reserves
the right to issue revisions to these Terms of Use by publishing a revised version
on IRMI.com. The revised version will then apply to all use by you following the
date of publication. Each access of information from IRMI.com will be a separate,
discrete transaction based on the then prevailing terms.
These Terms of Use and the license granted may not be assigned or sublet by you
without IRMI's written consent in advance.
These Terms of Use shall be governed by, construed and enforced in accordance with
the laws of the State of Texas, United States of America. Any action you bring to
enforce this agreement or any matters related to IRMI.com shall be brought in either
the State or Federal Courts located in Dallas County, Texas.
If any provision of this agreement is void or unenforceable in whole or in part,
the remaining provisions of this Agreement shall not be affected thereby.
Termination
This Terms of Use agreement is effective until terminated by either party. You may
terminate this agreement at any time by destroying all materials obtained from IRMI.com
and all related documentation and all copies and installations thereof, whether
made under the terms of this agreement or otherwise. This agreement will terminate
immediately without notice at IRMI's sole discretion, should you fail to comply
with any term or provision of this agreement. Upon termination, you must destroy
all materials obtained from this site and any and all other IRMI, site(s) and all
copies thereof, whether made under the terms of this agreement or otherwise.
